Terms and Conditions

01

The Eralux Warranty

ERALUX manufactures its luminaires to exact specifications. We warrant that our luminaires will be free of defects in workmanship and materials during the applicable warranty period. ERALUX reserves the right to modify its warranty from time to time. Due to advances in technology, replacement products or components may have lighting properties that differ from the original product. This warranty is valid only for the original purchaser.

02

LED Luminaire Warranty

Unless a longer product-specific warranty is expressly stated in writing by ERALUX, LED luminaires are delivered with a twelve (12) month warranty against defects in materials and workmanship that cause operational failure, provided that:

1. The fixture was purchased directly from ERALUX or through an authorized ERALUX representative.
2. The fixture was installed and operated within the parameters stated in the applicable specification sheet and installation guide. The warranty is void if the fixture is modified, installed incorrectly, misused or operated in an unsuitable environment.
3. Warranty coverage is limited to materials supplied by ERALUX. ERALUX is not responsible for labour or other charges associated with warranty coverage.
4. Warranty coverage does not include labour or equipment required to remove or reinstall fixtures or failed components. ERALUX may provide replacement parts or fixtures at its discretion. If the original fixture is no longer available, ERALUX may offer a similar replacement fixture.
5. Drivers and third-party components are covered by the respective manufacturer's warranty unless otherwise stated in writing by ERALUX.
6. All warranty requests must be pre-approved by ERALUX. ERALUX will not accept charges for repairs, labour or related costs without prior written approval and may elect to perform or coordinate warranty work directly.
7. Replacement LED boards, drivers or fixtures may have lighting or appearance deviations from the original product consistent with industry standards.
All clearance fixtures are covered by a limited one-year warranty unless otherwise stated.

03

Payment Terms

All orders are subject to credit approval. Unless otherwise agreed in writing, all invoices must be paid in full within thirty (30) days from the date of invoice. Late payments are subject to interest at fifteen percent (15%) per annum, calculated monthly at 1.25%, or the maximum rate permitted by applicable law, whichever is lower. Delivery and manufacturing are contingent on material availability, approved shop drawings and satisfaction of ERALUX's credit requirements. Applicable invoices must be paid in full for warranty coverage to remain valid, to the extent permitted by law.

04

Quotations

Prices on quotations are valid for thirty (30) days from the date of quotation unless otherwise stated. Quoted prices are valid for the specific project based on the quantities, location, product configuration and terms shown. Changes or modifications to an order may require a revision to the quotation.

05

Pricing

Pricing is subject to change without notice before order acceptance. Orders placed on hold or delayed longer than six (6) months from the date of quotation will need to be requoted. Pricing is valid only when provided directly by ERALUX or an authorized ERALUX representative. Applicable taxes, duties, tariffs and similar charges are additional unless expressly included.

06

Order Acknowledgement and Acceptance

Orders received and accepted by ERALUX will be acknowledged by written Order Acknowledgement. Order acceptance and manufacturing are subject to credit approval, material availability, approved shop drawings and receipt of all information required to proceed.

07

Cancellations

All orders in-house with Buyer-approved shop drawings are confirmed orders and cannot be cancelled without a cancellation fee based on materials, labour, engineering and other costs already incurred. Orders requiring custom parts or special materials may incur additional cancellation charges. Custom, modified and made-to-order fixtures may not be cancelled once materials have been ordered or production has begun.

08

Shipment Dates

While ERALUX strives to meet all deadlines, shipment and delivery dates are estimates only and are not guaranteed unless expressly agreed in writing. ERALUX shall not be liable for penalties, chargebacks, losses or expenses based on the actual shipment date or a delay in shipping. Orders are not cancelable or returnable due to delays in shipment dates.

09

Returns - RGA/RMA and Restocking Fees

Returned Goods Authorizations or Return Merchandise Authorizations are subject to approval and must be obtained from ERALUX before any return. Products returned without an RGA/RMA number will not be accepted. Approved returns of non-defective standard stocked products are subject to a minimum restocking charge of forty percent (40%) of the original net price. All returned products must be unopened, unused, in their original undamaged factory packaging and in resalable condition. Return freight and shipping charges are the responsibility of the customer, and original delivery fees are non-refundable. Non-defective return requests must be made within thirty (30) days of receipt, and approved products must be shipped back within ten (10) business days after authorization. Custom fixtures are non-returnable and non-refundable.

10

Freight Terms

Freight will be allowed by ERALUX on qualifying standard shipments with a net product value of $2,500 or more for products up to 4 feet, and $4,000 or more for products over 4 feet, panels and troffers. Freight eligibility is based on the net value and product mix of each shipment, not the total order value, unless otherwise stated in writing. Additional charges apply for partial, express or dedicated shipments, liftgate service, residential delivery, appointments, construction-site delivery, inside delivery, reconsignment, remote-area delivery, international delivery or other special services. Any request to redirect a shipment after dispatch may result in additional charges.

11

Claims

Any transportation damage must be reported to the transportation company and to ERALUX at the time the shipment is received. Visible damage or shortages should be noted on the carrier's delivery receipt. Claims resulting from transportation damage, failure in shipment or short shipment must be made directly to the transportation company, with notice to ERALUX. Claims regarding missing parts, quality issues or manufacturing damage must be made to ERALUX within fifteen (15) days from receipt of the products.

12

Product Design

All product designs, drawings and specifications are the property of ERALUX or its licensors and are subject to change without prior notice.
